About Jason Gershenson.
I’m a New York-based startup, venture capital, and business attorney working with founders, investors, operators, startups, venture-backed companies, and growth-stage businesses.

I advise on venture financings, SAFE and cap table issues, commercial contracts, governance, M&A, equity matters, and outside general counsel work. The work usually sits where legal documents, business judgment, investor dynamics, and operating reality meet.
My aim is to help companies make clean decisions and keep momentum when legal, business, and human issues collide. That means getting the documents right, but also understanding the transaction, the relationship, the timing, and the practical consequence of each choice.
This site is a place for direct writing on the startup and venture issues that tend to show up inside real deals: side letters, investor rights, SAFE cleanup, financing diligence, pilots, governance, founder deadlock, and the contract work that helps companies grow without turning every business issue into legal theater.
